경제용어(33) - 무상감자(無償減資) - capital reduction without refund

무상감자(無償減資)
無(없을 무), 償(갚을 상), 減(덜 감), 資(재물 자)

 

 

기업에서 감자(減資)를 할 때 주주들이 아무런 보상도 받지 못한 채 결정된 감자 비율만큼 주식수를 잃게 되는 것을 말한다. 자본감소의 방법 가운데 하나로서 통상 누적 결손금이 커질 경우에 자본금 규모를 줄여서 회계상의 손실을 털어내는 방법으로 이용된다. 자본금을 줄이되 주주에게는 아무런 보상을 하지 않으므로 자산은 변하지 않는다는 점에서 형식적 감자라고 하며, 반면 유상감자(有償減資)는 실질적으로 자본금이 줄어들어 실질적 감자라고 한다. 

일반적으로 여러 주식을 합하여 그보다 적은 수의 주식을 발행하는 주식병합의 방식으로 진행된다. 예를 들어 5대1의 무상감자인 경우에 5주를 보유한 주주는 1주만 보유하게 되고 이로 인한 손실에 대하여 아무런 보상도 받지 못하는데, 기업으로서는 주주에게 보상을 지급하지 않았으므로 자산 총액은 변함이 없는 것이다. 공적자금을 투입하는 기업의 경우처럼 대주주들의 부실경영에 대한 징벌적 수단으로 활용되며, 통상 무상감자가 실시되면 주가하락으로 작용한다.

 

Capital reduction without refund-무상감자(無償減資)

A capital reduction is when a company reduces the amount of its share capital, which can be done by making payments to shareholders out of its capital equal to the amount of money paid by a shareholder to acquire the company's shares or by a share buyback. A capital reduction can also be done when shares are cancelled for zero consideration.

Returning back capital allows a company to reduce its share capital without the consent of each individual shareholder. A share buyback reduces a company's share capital by purchasing back shares from shareholders; however, unlike returning capital, a buyback requires the shareholders that have been offered buybacks to determine whether they want to sell back their shares or not.

To reduce share capital, a company must comply with regulations and obtain approval before proceeding with the process. The law will vary in each country.

A company is required to reduce its share capital using a set of specific steps. First, a notice must be sent out to creditors of the resolution of the capital reduction. Second, the company has to then submit an application for entry of the reduction of share capital within a certain period after publication of the initial notice. Share capital reduction is then expected to be paid to shareholders a few months after the entry of reduction in the commercial register.

 

 

無*없을 무(火-12획, 5급)  无(mó, wú)

1) 無자는 ‘춤출 무’(舞)의 본래 글자였다. ‘춤’(a dance)과 ‘없다’(do not exist)는 뜻의 낱말이 초기 1000년 간 같은 글자로 쓰이다가 혼동을 피하기 위하여 舞와 無로 각각 분리 독립되었다. 따라서 無자의 ‘灬’는 ‘불 화’(火)의 변형이 아니고 단순한 구별 부호인 셈이다. 

2) 무당이 양손에 무엇인가를 들고 춤을 추는 모습을 본떠 만든 글자. 가차되어 '없다'라는 뜻으로 쓰임.  

3) 橆-林+灬(火), 본래는 天자의 서북방 획을 굽혀서 无로 썼는데 진한(秦漢)이후로 숲(林)이 무성(無)한 橆(茂) 자의 아래 林을 火로서 태웠으니 ‘없는’ 것이다. 音은 橆(무)에서 왔다. → 无(없을 무) 

4) 춤출 무(舞)+불 화(灬) 불(灬)이 춤추듯이(舞) 활활 타올라 물건을 다 태워버리다>없다 

5)  this character shows a dancing figure with long sleeves that conceal the arms. To an abbreviated form of this character was eventually appended 火 fire →person/object concealed by dense smoke. *Not*, *none* and *un- * are extended meanings (lack presence/existence ← concealed; compare 亡) → *disregard*; *lose*; *be gone*; *be missing*; *run out of*. 

 

償*갚을 상(亻-17, 3급)  偿(cháng)

1) 사람 인(亻) + 조개 패(貝) + [오히려/숭상할 상(尙)] 사람(人)이 돈(貝)을 갚는다. repay, pay back

2) 亻+賞, 남(亻)이 손해 본 것을 보충해 주는(賞) 것이니, 즉 ‘보상’이다. 자기의 죄과에 대가를 내는 것은 贖(속바칠속)이다. 償還(상환) 賠償(배상)

3) 사람 인(亻=人)+상주다/칭찬하다 상(賞) 상(賞)을 주어 사람(亻=人)의 노력을 갚다>갚다

4) 賞 # bestow; reward + 人 person (→ human agency) → bestow compensation → *compensate*; *indemnify* (a person) → *reparation*; *atonement*.

 

減*덜 감(水-12, 5급)  减(jiǎn)

1) 減자는 ‘(물이) 줄다’(get fewer)는 뜻을 나타내기 위한 것이었으니 ‘물 수’(水)가 의미, 咸(다 함)이 발음 — 堿(짤 감). 후에 ‘빼다’(subtract) ‘덜다’(reduct) 등으로 확대 사용.

2) 물 수(氵) + [다 함(咸)→감] 물(氵)은 누구나 다(咸) 마시므로 점차로 ‘줄어드는’ 것이다. 音은 咸의 변음이다.

3) 물(氵)은 모두(咸)낮은 곳으로 흘러 빠져 나간다>덜다

4) 咸 # (shut) + 水 water → (partially) shut off the flow of water → *reduce*; *decrease*; *diminish*; *dwindle*; *subtract* → *be hungry*.

 

資*재물 자(貝-13, 4급)  资(zī)

1) 資자는 돈이나 재물을 총칭하는 것(property)이니 ‘조개(=돈) 패’(貝)가 의미, 次(버금 차)가 발음 → 姿(맵시 자). 후에 ‘밑천’(capital; fund) ‘비용’(expenses) 등으로 확대 사용.

2) 次+貝, 다음(次) 돈(貝)버는 사업에 ‘도움’되는 것이다. 音은 次의 변음이다. 무슨 수단으로서 필요한 것은 資고, 무릇 생활하는데 필요한 것은 財(재)다. 資産(자산) 資本(자본) 投資(투자)

3) 조개 패(貝)+다음/잇다 차(次) 생활을 이어가는(次) 기본적 물자(貝)>바탕

4)  次 # (align) + 貝 commodities → have one's assets in proper alignment →*resources*/*capital* → *grounds*; *basis*; *one's nature*; *financial assistance*.
